Invly Terms of Service

1. Parties and acceptance

1.1. These Terms of Service ("Terms") form a binding agreement between:

  • Rev Tech MB ("we", "Invly", "Provider"), and
  • you — the natural or legal person using Invly ("Customer", "you").

1.2. By creating an account or otherwise using the services, you confirm that:

  • you are at least 18 years old and have legal capacity, or you act as an authorised representative of a legal entity;
  • you have read and accepted these Terms and the Privacy Policy;
  • information you provide is accurate and truthful.

1.3. If you do not accept these Terms, do not use the services.

2. Definitions

  • "Services" — the invoice management software accessible at www.invly.lt, including ancillary features (AI invoice generation, public invoice links, EPC QR codes, etc.).
  • "Customer" — a user who has accepted these Terms.
  • "End User" — the Customer's own client, to whom the Customer issues invoices using the Services.
  • "Pradžia plan" — free plan, capped at 3 invoices per calendar month.
  • "Profesionalus plan" — paid plan with a 14-day free trial.
  • "Verslas plan" — team plan offered on bespoke terms.

3. Account creation and security

3.1. An account requires an email and a password of at least 6 characters.

3.2. You are responsible for the confidentiality of your credentials and for all activity under your account. Notify info@invly.lt of any unauthorised use promptly.

3.3. One person or legal entity may hold only one account unless we agree otherwise in writing.

4. Plans, pricing, and billing

4.1. Pradžia plan is free and permits up to 3 invoices per calendar month and up to 5 clients.

4.2. Profesionalus plan costs €14 per month (VAT applies as required by Lithuanian law). New subscriptions include a 14-day free trial. Unless cancelled during the trial, the first paid month is charged automatically upon expiry.

4.3. Verslas plan is provided on individually negotiated terms.

4.4. Payments are processed by Stripe. We do not have access to your card data.

4.5. Charges renew automatically each month until you cancel. Prices may change with 30 days' prior notice by email.

4.6. Refunds: because the 14-day trial allows pre-purchase evaluation, fees for a started billing period are non-refundable except where (a) the Services were unavailable for at least 24 hours due to our fault, or (b) refund is required by mandatory consumer-protection law.

4.7. A cancelled subscription remains usable until the end of the current period. Thereafter the account returns to the Pradžia plan automatically.

5. Trial period (Profesionalus plan)

5.1. During the trial, the full Profesionalus feature set is available.

5.2. The trial carries no financial commitment until it ends. You may cancel at any time via /app/settings?tab=paskyra.

5.3. Failure to cancel before the trial ends results in automatic conversion to a paid subscription per section 4.2.

6. Acceptable use

6.1. You shall not:

  • violate Lithuanian or international law;
  • send unsolicited commercial communications ("SPAM") via the send-invoice function to recipients who are not the actual recipient of the invoice;
  • submit content to AI features that violates Anthropic's usage policy (violence, hate, lawless processing of personal data);
  • attempt to bypass technical safeguards (RLS, authentication, quotas);
  • clone, reverse-engineer, or scrape the software;
  • use the Services for cyber-extortion, fraud, or money laundering.

6.2. We reserve the right to suspend or terminate an account immediately and without prior notice if a material breach is detected.

7. Your content and intellectual property

7.1. Your content (your clients' data, invoice line items, logos, templates) remains your property. We obtain only a limited licence to process it as necessary to deliver the Services.

7.2. Invly's intellectual property (source code, "Invly" brand, logo, UI design) is and remains our property. These Terms grant no licence to that intellectual property other than the right to use the Services as offered.

7.3. You may export your data as PDF or CSV at any time. After account closure, data is retained for 36 months (account data) or 10 years (accounting invoices, per Lithuanian law) and is then irrevocably deleted.

8. AI features

8.1. Invly offers AI features (invoice line generation from prose; receipt OCR). These rely on the Anthropic API.

8.2. AI outputs may be inaccurate. You are obliged to verify all AI-generated data before sending an invoice to a client or submitting it to the tax authority.

8.3. We are not liable for tax, legal, or financial loss caused by your failure to verify AI outputs.

9. Service availability (SLA)

9.1. We aim for 99.5% monthly availability but do not guarantee uninterrupted operation.

9.2. Planned maintenance that may cause temporary unavailability is announced at least 24 hours in advance at https://www.invly.lt or by email.

9.3. During the open-beta period SLA commitments do not apply.

10. Limitation of liability

10.1. Services are provided "AS IS" and "as available". We make no express or implied warranties of fitness for any particular purpose, uninterrupted operation, or data accuracy.

10.2. Our total liability to any Customer over any 12-month period shall not exceed the subscription fees actually paid to us during those 12 months. For Pradžia-plan (free) Customers, the maximum aggregate liability is €50.

10.3. We are not liable for:

  • indirect, consequential, or special damages (lost profits, lost clients, reputational harm);
  • data loss caused by third parties (Supabase, Stripe, Resend, Anthropic, Vercel) provided we have taken reasonable mitigation steps in a timely manner;
  • inaccuracies in AI-generated content (see section 8);
  • your legal or tax compliance — you are responsible for the correctness of the invoices you issue.

10.4. These limits do not apply to wilful misconduct, gross negligence, or where Lithuanian law prohibits such limitation (e.g. mandatory consumer-protection rights).

11. Consumer rights (where you act as a consumer under Lithuanian law)

11.1. If you use the Services for personal, non-business purposes, the mandatory provisions of Lithuanian consumer-protection law apply. Such provisions prevail over conflicting Terms.

11.2. A consumer has the right to withdraw from a distance contract within 14 calendar days without giving reasons (Lithuanian Civil Code, Art. 6.22810). This right does not apply where the service has begun with the consumer's express consent for substantial use that provides actual value (Civil Code Art. 6.22810(4)(2)).

12. Personal data

How we process your personal data is described in the Privacy Policy. When you upload your End Users' personal data, the Data Processing Agreement (DPA) applies and is signable on request.

13. Force majeure

Neither party is liable for non-performance caused by events outside its control — war, natural disasters, government restrictions, large-scale internet infrastructure outages, or pandemics.

14. Changes to the Terms

14.1. We may amend these Terms with 30 days' prior notice by email or in-app.

14.2. Continued use after the effective date constitutes acceptance. If you disagree, you may terminate before the new Terms take effect.

15. Termination

15.1. You may terminate at any time by deleting your account in Settings. Fees for the current period are non-refundable (section 4.6).

15.2. We may terminate with 30 days' notice, or immediately for material breach (section 6).

16. Governing law and venue

16.1. These Terms are governed by Lithuanian law.

16.2. Disputes not resolved through 30 days of good-faith negotiation are submitted to Vilniaus miesto apylinkės teismas based on the Customer's residence / seat where the Customer is a consumer; otherwise to the Vilnius Regional Court.

16.3. Consumers may also approach the State Consumer Rights Protection Authority (vvtat.lrv.lt) or use the EU ODR platform (ec.europa.eu/consumers/odr).

17. Lithuanian version prevails

The Lithuanian version of these Terms is authoritative. In case of conflict between the Lithuanian and any other-language version, the Lithuanian text prevails for Customers resident or established in Lithuania.
